Pour chaque action, les actionnaires de Capricorn Energy vont recevoir environ 3,81 nouveaux titres de Tullow Oil et retiendront globalement 47% du nouveau groupe.

Russ Mould, analyste de AJ Bell révèle que cette fusion « reflète à quel point les deux entreprises ont chuté depuis leurs heures de gloire ». Il rappelle que « l’existence même de Tullow semblait menacée à un moment donné » avant que le groupe n’annonce un accord à 1,8 milliard de livres pour le refinancement de sa lourde dette l’année dernière.
Quant à Capricorne, il fut « paralysé par un différend fiscal avec l’Inde », poursuit l’analyste. Un long litige qui a finalement abouti en février dernier par le remboursement par New Delhi d’un milliard de dollars au groupe écossais. Selon Russ Mould « les actionnaires des deux sociétés espèrent que le rapprochement pourra établir les bases d’une croissance renouvelée ».
